Abstract:
Prior studies have not examined digital transformation from the corporate governance perspective. By integrating resource-based theory and institutional theory, this study builds a research framework to analyze the impact of digital entrants on the digital transformation of incumbents under different corporate governance scenarios. Based on a panel data of 3,712 Chinese A-share listed companies from 2011 to 2022, we found that the emergence of digital entrants stimulated incumbents to adopt digital transformation. In addition, this relationship was influenced by four corporate governance factors. Specifically, the centrality of shareholder networks and ownership concentration positively moderated the impact of digital entrants on digital transformation. In contrast, board diversity and the traditional technology background of top management team negatively moderated the relationship. These findings contribute to understanding how corporate governance imposes differential impacts on digital transformation, We provide guidance for incumbent firms in their digital transformation practice.
